Biography

Richard Laramée is Chairman of the Board of DS Lawyers Canada, a member of the firm's Executive Committee, and Managing Partner of the Montréal office.

A positive leader with an innovative and structured business vision, he is actively involved in the direction and implementation of the firm's development plan and growth strategy at the local, national and international levels. He is also involved in the governance of the DS Lawyers Group internationally, along with the firm's development in targeted strategic centers abroad, including Asia and Central America.

For more than forty-five years, Richard has been practising commercial and business law, specifically transactional law, mergers and acquisitions, and corporate finance. He represents private and public companies both nationally and internationally. In addition, he has led large transactions for high-growth companies as they expand or enter new markets, including manufacturing, entertainment, commercial real estate, retail (including automotive), financial services, and the evolving technology sector.

He brings his expertise in good governance to corporate structure and management, growth management, expansion and acquisition strategies, and the reorganization of major corporate groups at both the legal and organizational levels. The quality of his strategic advice and his in-depth knowledge of the business world makes him highly sought after.

Richard is involved in the community and with various charitable causes. Among other things, he cofounded the Charles-Bruneau Foundation, on which he serves as Chairman of the Board. In 2022, he was awarded Queen Elizabeth II’s Platinum Jubilee Medal, in 2022.

Mergers and acquisitions

  • Lead counsel for one of the largest Canadian corporate groups in the restaurant industry, with several franchises in Canada and abroad, which has experienced exceptional growth in recent years.
  • Lead counsel for one of the largest corporate groups in the automotive sector in Québec, which continues to expand and grow, particularly in the United States.
  • Lawyer who has led several transactions in mergers and acquisitions and private equity financing in multiple sectors, with values ranging from CAD $10 to $100 million.
  • Lawyer who has led transactions involving the divestiture and acquisition of several automobile dealerships of various manufacturers and is actively involved in reorganization and restructuring operations to consolidate groups in this industry.
  • Lawyer who has advised various stakeholders (buyers, sellers, financiers, investors, professionals) in a multitude of transactions, particularly in the following sectors: commercial real estate, insurance, and financial services, particularly in the context of business succession, distribution and retail, investment and performing arts.

Business Financing

  • Advised companies in major loan renegotiation and the consolidation of their credit arrangements and other projects and acquisition financing, including for groups with several local and foreign subsidiaries, with financing amounts ranging from CAD $50 to $150 million.
  • Advised a large-scale real estate developer in the establishment of a structure for the acquisition and development of a large real estate complex in the greater metropolitan area, involving several complex phases and transactions.
